Jump Cut Audio — Business and Subscription Terms

  1. Service provider

Jump Cut Audio is operated by: Legal business name: GVO Sounds
Trading name: Jump Cut Audio
Registered address: Bankastraat 28B, 1094 EE Amsterdam, the Netherlands
Chamber of Commerce number: 72123109
VAT identification number: NL327400407B01
Email: gvosounds@gmail.com In these Terms, “Jump Cut Audio,” “we,” “us” and “our” refer to GVO Sounds.

  1. Contact and complaints

Customers may contact Jump Cut Audio or submit a complaint by emailing gvosounds@gmail.com.

A complaint should include:

  • The customer’s full name and account email;
  • The relevant track, order or license-certificate number;
  • A description of the issue;
  • Relevant URLs, screenshots or claim information; and
  • The customer’s requested resolution.

Jump Cut Audio will acknowledge a complaint within five business days and aims to provide a substantive response within 14 calendar days. If additional investigation is required, Jump Cut Audio will inform the customer and provide a reasonable expected response date. This complaints process does not restrict any statutory rights or legal remedies available to a consumer.

  1. Prices and VAT

Consumer prices include applicable VAT. The complete amount payable is displayed before payment. Business VAT treatment may vary according to location and VAT status.

VAT is determined using the customer’s status and location:

3.1 Customers in the Netherlands Dutch consumers and customers without a valid business VAT number will normally be charged Dutch VAT at the applicable rate, currently 21%.

3.2 EU consumers outside the Netherlands For electronically supplied services sold to EU consumers, Jump Cut Audio may be required to charge VAT at the rate applicable in the customer’s EU country. A Netherlands-established business may apply Dutch VAT while its qualifying cross-border EU consumer sales remain below the applicable €10,000 annual threshold. Once the threshold is exceeded—or if Jump Cut Audio elects not to use it—the customer’s local EU VAT rate applies. Jump Cut Audio may report this VAT through the EU One Stop Shop.

3.3 EU business customers An EU business customer outside the Netherlands that supplies a valid VAT identification number may be charged without Dutch VAT where the reverse-charge mechanism applies.

The customer is responsible for providing accurate business and VAT information. Jump Cut Audio may verify VAT numbers and correct tax treatment where inaccurate information has been supplied.

3.4 Customers outside the EU Customers outside the EU will be charged VAT, sales tax, GST or similar taxes where Jump Cut Audio is legally required to collect them. Local taxes may be calculated at checkout based on the customer’s billing address and tax status. Customers may remain responsible for local taxes that Jump Cut Audio is not legally required to collect.

3.5 Location evidence Jump Cut Audio and its payment provider may use the customer’s billing address, payment information, IP location and VAT number to determine the appropriate tax treatment.

  1. Subscription term

Jump Cut Audio subscriptions operate on a monthly basis unless a different period is expressly shown at checkout. The subscription begins when payment is successfully completed and continues for one month. It automatically renews for successive monthly periods until canceled. There is no fixed minimum term unless expressly stated before purchase.

  1. Subscription management and payment provider.

Subscription fees are charged monthly in advance using the payment method selected by the customer. By starting a subscription, the customer authorizes Jump Cut Audio and its payment provider to charge the applicable subscription fee and taxes at the beginning of each monthly billing period until cancellation.

If payment fails, Jump Cut Audio may retry the payment and temporarily restrict downloads or other paid features. The customer remains responsible for amounts lawfully due before cancellation.

Subscription billing is processed through Stripe. Customers can access Stripe’s secure Customer Portal by selecting “Manage Subscription” from their Jump Cut Audio account. The portal may be used to view invoices, update payment information and cancel future subscription renewal. Stripe provides the technical billing interface, but GVO Sounds remains the contracting service provider and remains responsible for the customer’s contractual and statutory rights.

  1. Cancelling a subscription

Customers may cancel automatic renewal at any time by selecting “Manage Subscription” in their Jump Cut Audio account and completing the cancellation through the Stripe Customer Portal. If the portal is unavailable, the customer may cancel by emailing gvosounds@gmail.com

from the email address associated with the account.

A cancellation is effective when Stripe displays confirmation of the cancellation or when Jump Cut Audio receives a valid cancellation request by email. Jump Cut Audio will provide or arrange electronic confirmation of the cancellation.

Cancellation prevents the next automatic renewal. Unless a statutory withdrawal or refund right applies:

The subscription remains active until the end of the current paid billing period; The customer retains access to the Plan’s paid features until that period ends; No further subscription payment will be collected after the effective cancellation date; and No partial refund is provided for unused days in the current paid period.

Cancelling automatic renewal is different from exercising the statutory 14-day right of withdrawal described in paragraph 8.

Cancellation does not invalidate a Project License properly generated for a Production during the active subscription period. The Production must still be first published within the applicable Activation Window stated in the Music License Agreement.

  1. Refund policy

Subscription payments are generally non-refundable once the applicable monthly period has begun, except where:

  • A statutory withdrawal right applies;
  • The service does not conform to the contract and Jump Cut Audio fails to correct it within a reasonable period;
  • A customer was charged after properly cancelling;
  • A duplicate or demonstrably incorrect payment occurred;
  • Jump Cut Audio is legally required to provide a refund; or
  • Jump Cut Audio agrees to a refund as a discretionary goodwill measure.

Cancellation alone does not create a right to a partial refund for the remaining days of a paid subscription month. Approved refunds will be made without undue delay and normally within 14 days, using the original payment method unless the customer expressly agrees otherwise. Jump Cut Audio will not charge a refund-processing fee.

  1. Fourteen-day withdrawal right

8.1 Exercising the right of withdrawal

Where the statutory right of withdrawal applies, a consumer may withdraw from the subscription contract within 14 days after the contract is concluded without giving a reason.

The consumer may exercise this right by using the prominently displayed “Withdraw from contract” function available on the Jump Cut Audio website. The consumer may also send an unambiguous withdrawal statement to gvosounds@gmail.com

or use the model withdrawal form provided by Jump Cut Audio.

The online withdrawal function will allow the consumer to provide or confirm:

The consumer’s name; The account email and information identifying the subscription or order; and The electronic address to which confirmation should be sent.

After the consumer selects “Confirm withdrawal,” Jump Cut Audio will send an acknowledgement on a durable medium, such as email, without undue delay. The acknowledgement will include the content of the request and its submission date and time.

The Stripe subscription-cancellation function stops future renewal but does not, by itself, constitute a statutory withdrawal request unless it expressly states that the consumer is exercising the right of withdrawal.

8.2 Immediate access to the service

If a consumer requests immediate access to streaming or other subscription services during the withdrawal period and then withdraws before the 14 days have expired, Jump Cut Audio may deduct a proportionate amount for the service already supplied, where permitted by law and properly disclosed at checkout.

8.3 Immediate digital downloads

A consumer may lose the withdrawal right for a specific digital music download once supply of that download has begun, but only if the consumer:

  1. Expressly requested immediate supply;
  2. Expressly acknowledged that beginning the download would cause the withdrawal right to be lost; and
  3. Received confirmation of that consent on a durable medium, such as email.

Cancelling automatic subscription renewal through Stripe does not reverse or withdraw a digital-content download. Where the consumer has expressly requested immediate supply, acknowledged the resulting loss of the withdrawal right and received confirmation of that consent, the withdrawal right for the supplied digital content may be lost when the download begins, to the extent permitted by applicable law.

  1. Digital-content conformity

Jump Cut Audio will supply digital content and services that:

  • Match their description at the time of purchase;
  • Provide the functionality and access reasonably expected from the selected plan;
  • Include the license rights expressly advertised for that plan;
  • Are supplied with the quality and compatibility promised by Jump Cut Audio;
  • Receive necessary security or service updates where applicable; and
  • Remain available during the paid subscription period, subject to reasonable maintenance and events outside Jump Cut Audio’s control.
  1. Statutory remedies

If Jump Cut Audio digital content or services do not conform to the contract, a consumer may contact Jump Cut Audio and request that the issue be corrected.

Jump Cut Audio will attempt to restore conformity:

  • Without charge;
  • Within a reasonable time; and
  • Without significant inconvenience to the consumer.

Where correction is impossible, disproportionate, unsuccessful or not completed within a reasonable time, the consumer may be entitled to:

  • A proportionate reduction in price;
  • Termination of the affected contract;
  • Reimbursement of qualifying amounts; or
  • Other remedies provided by applicable law.

Refunds required following lawful termination will be processed without undue delay and normally within 14 days.

  1. Service availability

Jump Cut Audio will use reasonable care to keep the platform, catalog, accounts and downloads available. However, uninterrupted or error-free availability cannot be guaranteed.

Access may be temporarily interrupted because of:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Security incidents;
  • Hosting or payment-provider outages;
  • Internet or telecommunications failures;
  • Rights disputes affecting a particular track;
  • Legal or regulatory requirements; or
  • Events outside Jump Cut Audio’s reasonable control.

Where reasonably possible, Jump Cut Audio will provide advance notice of planned interruptions. If a material interruption continues for an unreasonable period, the customer may be entitled to a proportionate refund or termination under applicable consumer law. Temporary unavailability does not automatically terminate licenses already validly granted for completed and published projects.

  1. Catalog changes

Jump Cut Audio may add, replace or remove tracks from the catalog. If a track is removed because of a rights dispute, legal requirement or credible infringement allegation, Jump Cut Audio may prevent new downloads and new uses of that track. A removal will not ordinarily invalidate a license for a project lawfully completed and published before removal, unless:

  • The customer knew or reasonably should have known that the use was unauthorized;
  • The license was obtained fraudulently;
  • Continued use is prohibited by law or binding legal order; or
  • Jump Cut Audio did not possess the rights it represented it controlled.

Where a removed track materially affects a paid customer’s service, Jump Cut Audio will provide an appropriate replacement, price reduction or other legally required remedy.

  1. Changes to pricing

Jump Cut Audio may change subscription prices for future billing periods. Jump Cut Audio will provide customers with at least 30 days’ advance notice of a price increase by email or through a prominent account notification. A price change will not apply retroactively and will take effect no earlier than the customer’s next renewal after the notice period. If the customer does not accept the new price, the customer may cancel before it takes effect without an additional cancellation charge.

  1. Changes to license terms

The license version applicable to a Production is the version identified on the Project License generated for that Production. Downloading a Track does not by itself authorize its use in a Production unless the required Project License is generated.

Jump Cut Audio may change the Terms prospectively for:

  • New subscriptions;
  • Future renewals;
  • Future downloads; and
  • New projects created after the effective date of the amended Terms. Jump Cut Audio will not retroactively remove material rights from a project that was lawfully licensed and published under an earlier version. For material changes affecting an active subscription, Jump Cut Audio will provide reasonable advance notice. If a change materially disadvantages a consumer, the consumer may cancel before the change takes effect.
  1. Account suspension

Jump Cut Audio may temporarily suspend an account where it reasonably believes that:

  • Payment is overdue;
  • The account has been compromised;
  • The customer has breached the license;
  • Downloads are being automated, scraped or abused;
  • Login credentials are being shared unlawfully;
  • Music is being redistributed or sublicensed;
  • Jump Cut Audio material is being used for prohibited AI training;
  • Fraud or unlawful activity has occurred; or
  • Suspension is required to protect Jump Cut Audio, its artists, customers or service.

Where appropriate, Jump Cut Audio will notify the customer and provide a reasonable opportunity to correct the breach. Immediate suspension may occur where urgent action is reasonably required to address fraud, security, infringement, illegal activity or a serious threat to Jump Cut Audio or third-party rights.

  1. Account termination

Jump Cut Audio may terminate an account where:

  • A material breach cannot be corrected;
  • The customer fails to correct a remediable breach after reasonable notice;
  • Fraud or deliberate rights infringement occurs;
  • The customer repeatedly violates these Terms;
  • Continued service would violate the law or third-party rights; or
  • Jump Cut Audio permanently discontinues the relevant service.

Termination does not affect rights and obligations that arose before termination. Licenses obtained through fraud, unauthorized payment, deliberate infringement or material misrepresentation may be revoked to the extent permitted by law. If Jump Cut Audio terminates a compliant customer without fault and without providing the remainder of a prepaid service period, Jump Cut Audio will refund the unused proportion of that prepaid period where legally required.

  1. Governing law

These Terms and contracts with Jump Cut Audio are governed by the laws of the Netherlands. For consumers, this choice of law does not remove mandatory protections granted by the law of the consumer’s country of habitual residence where those protections apply under EU or other applicable private-international-law rules.

  1. Jurisdiction

18.1 Business customers Disputes with business customers will be submitted to the competent court in Amsterdam, the Netherlands, unless mandatory law requires otherwise.

18.2 Consumers A consumer may bring proceedings before a court that has jurisdiction under applicable consumer-protection and private-international-law rules. Nothing in these Terms requires an EU consumer to surrender a mandatory right to bring proceedings in the courts of their country of residence.

  1. Alternative dispute resolution

Customers should first submit complaints to gvosounds@gmail.com so Jump Cut Audio has a reasonable opportunity to resolve the matter directly. Jump Cut Audio is not currently committed to or affiliated with a specific Dutch consumer dispute committee unless Jump Cut Audio separately registers with one. Where a legally recognized alternative dispute-resolution body has jurisdiction and participation is mandatory, Jump Cut Audio will comply with the applicable requirements. A consumer living in another EU country may also contact their local European Consumer Center for assistance with a cross-border dispute.

  1. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability for:

  • Intentional misconduct or deliberate recklessness by Jump Cut Audio;
  • Death or personal injury caused by legally attributable conduct;
  • Fraud;
  • Breach of mandatory consumer rights; or
  • Any liability that applicable law prohibits Jump Cut Audio from limiting.

20.1 Consumers

For consumers, Jump Cut Audio is responsible for reasonably foreseeable direct loss caused by Jump Cut Audio’s failure to perform the contract or exercise reasonable care.

Jump Cut Audio is not responsible for loss caused by:

  • Unauthorized or unlawful use of a track;
  • Use outside the applicable license;
  • Inaccurate customer information;
  • Third-party platforms or services outside Jump Cut Audio’s control;
  • The customer’s failure to retain a license certificate;
  • Customer devices, software or internet connections; or
  • Independent commercial decisions made using the service.

20.2 Business customers

To the fullest extent permitted by law, Jump Cut Audio will not be liable to a business customer for indirect or consequential loss, loss of profit, loss of opportunity, loss of goodwill or loss of anticipated savings. Jump Cut Audio’s aggregate liability to a business customer arising from the service will normally be limited to the subscription fees paid by that customer during the 12 months preceding the event giving rise to the claim.

  1. Force majeure

Jump Cut Audio will not be liable for a delay or failure caused by circumstances beyond its reasonable control, including:

  • Internet, cloud-hosting or telecommunications failures;
  • Payment-provider outages;
  • Cyberattacks not caused by Jump Cut Audio’s failure to take reasonable security precautions;
  • Power failure;
  • Natural disaster;
  • Fire, flood, epidemic or pandemic;
  • War, terrorism, civil disorder or governmental action;
  • Strikes or industrial disputes outside Jump Cut Audio;
  • Changes in law or binding government orders;
  • Failures by essential third-party suppliers; and
  • Urgent rights disputes or legal orders requiring content removal.

Jump Cut Audio will take reasonable steps to reduce the effects of the event and restore the service. If a force-majeure event prevents material performance for more than 30 consecutive days, either party may terminate the affected ongoing service. Jump Cut Audio will refund any prepaid amount covering a period after termination where required by law. Force majeure does not excuse obligations that arose before the event, including valid payment or refund obligations.
